HANAVI Terms of Use

Welcome to HANAVI — an artificial intelligence video editor (AI Video Editor).

Please read these Terms of Use carefully before installing or using the HANAVI software. By downloading, installing, registering an account, or using any part of the software, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to any part of these Terms, please uninstall the software and discontinue all use immediately.

2. Software Description and Scope of License

• Software Description: HANAVI is a software application installed and run locally on personal computers running the Windows operating system, offering two primary workspaces:
• A workspace for movie translation, dubbing, and automated subtitle generation.
• A workspace for video editing tailored for creative content such as vlogs, movie reviews, and an "AI rough cut" feature.
• Scope of License: HANAVI grants you a limited, personal, non-exclusive, non-transferable, and revocable license to use the software in accordance with the terms set forth herein.
• Ownership: You are granted a license to use the software; you do not own the software. All intellectual property rights, copyrights, trademarks, source code, user interface files, documentation, and underlying technologies related to HANAVI remain the sole and exclusive property of HANAVI.

3. User Accounts and Authentication

• Account Registration: You create an account inside the HANAVI software with a valid email address: your first sign-in with the verification code sent to that email creates the account. The form on hanavi.vn only subscribes you to HANAVI news and does not create a software account.
• Login Mechanism: To ensure security and streamline user experience, the software does not use permanent passwords. Each time you log in, the system generates and sends a temporary one-time password (OTP code) to your registered email address. You are responsible for safeguarding access to your email account to prevent unauthorized access.
• Subscription Tiers: HANAVI provides two main account tiers:
• Free Tier: Provides access to basic features according to the policies applicable from time to time.
• Pro Tier: Grants access to advanced capabilities for a specified active duration.
• Account Management: Each account is issued to an individual user. You are solely responsible for all activities that take place under your account.

4. Credits and Payment

• Credit Consumption: Cloud-based AI features running on HANAVI servers (including movie review assistance, AI rough cut, and server-based AI translation) consume corresponding Credits from your account balance at the time of each request. Features processed entirely on your local computer do not consume Credits.
• Purchasing Credits and Pro Subscriptions: You may purchase Credit packages or extend your Pro subscription duration via bank transfer. Each transaction is linked to a specific order code. Once you complete the bank transfer with the correct order code and HANAVI verifies the payment, the package or Credits will be credited to your account.
• Activation Codes: You may also activate subscriptions or add Credits using valid activation codes issued directly by HANAVI.
• Refund Policy: Pro subscriptions and Credits are digital services delivered as soon as they are added to your account. Payments are therefore non-refundable, except in the following two cases:
• Overpayment or duplicate transfer: HANAVI refunds the excess amount or the duplicate transfer. If you prefer, it can instead be added to your account as the matching package.
• HANAVI's error: you transferred the correct amount with the correct order code, but the package or Credits were not added within 3 business days and HANAVI cannot resolve it. HANAVI then refunds the full amount of that order.
• Unsuccessful AI Requests: When a server-side AI request fails, times out or is cancelled before processing, the Credits deducted for that request are automatically returned to your account. Credits cannot be exchanged for money.
• Non-refundable Items:
• Credits consumed by successfully processed AI requests, including when you are not satisfied with the result. See the provisions on the accuracy of AI outputs in Section 5.
• Unused Credits and remaining Pro days when you change your mind, no longer need the service, uninstall the software or close your account.
• Packages and Credits received from activation codes, promotions or gifts.
• Accounts suspended or closed for violating these Terms (Section 7).
• Your computer not meeting the system requirements (Windows 10 or 11, 64-bit). We recommend trying the Free tier before purchasing.
• How to Request a Refund: Email info@hanatech.vn within 7 days of the transfer, including your account email, the order code and a screenshot of the bank transaction. HANAVI replies within 5 business days.
• If a refund is approved, the corresponding package or Credits (if already added) are withdrawn, and the money is transferred back to the paying bank account within 10 business days.
• A refund never exceeds the amount HANAVI actually received for that order.
• Unpaid Orders: Orders that have not been paid expire automatically at no cost. You do not need to request a cancellation.
• No Cash Value, No Transfer: Credits and Pro days have no cash value and cannot be transferred to another account.

5. Feature Guidelines and Data Processing

• Processing on Your Computer: HANAVI is designed to process as much as possible on your device. All project files, source footage, audio, transcripts, subtitles and exported files are stored on your computer. Speech recognition, AI voice generation, speaker separation and on-device translation (if enabled) run entirely on your computer without sending data out.
• Server-Side Processing: When you choose to use AI features that run on our servers, the software sends HANAVI's servers only the data that request needs: the text to be processed (dialogue, subtitles, scripts, instructions or short descriptions you enter) and, for the AI rough cut feature, a limited number of low-resolution thumbnails taken from the clips you selected.
• AI Service Providers and Data Commitments: To fulfil a request, HANAVI may pass this data to third-party AI service providers solely to process that request. HANAVI does not use your project content or images to train AI models. Details are in the Privacy Policy.
• Accuracy of AI Outputs: Artificial intelligence models may generate inaccurate, incomplete, or inappropriate outputs. You are responsible for reviewing, verifying, and editing all AI-generated content, translations, and exported videos before publishing or using them for public or commercial purposes.
• Voice Cloning Feature: The software lets you create a cloned voice from a short voice recording. The cloned voice is stored entirely on your computer. You may only clone your own voice or the voice of a person who has given you explicit written consent. You are strictly prohibited from cloning voices to impersonate, defame, threaten, harass or defraud others.
• Video Import via URL: When you download videos from links, you bear full and sole responsibility for holding the rights to that content and for complying with the terms of the platform hosting it. HANAVI does not host, distribute or assume any liability for content you retrieve from the Internet.
• Audio Library: The software includes built-in music tracks and sound effects licensed under Creative Commons Zero (CC0) or Creative Commons Attribution (CC BY). When you utilize CC BY assets, the software automatically creates an attribution file alongside your exported video. You are obligated to copy and include these attribution notices when publishing your video on social media or public platforms.
• Third-Party Open-Source Components: The software uses, and may download, third-party open-source components. Each is governed by its own licence; the list of components and their licence texts are included with the software.

6. Prohibited Activities

When using HANAVI, you agree to comply with all applicable laws and refrain from engaging in, encouraging, or facilitating any third party to engage in any of the following activities:

• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any component of the software.
• Extracting, copying, modifying or distributing without authorisation any files, code, assets or internal data of HANAVI.
• Using any AI tools, bots, scrapers, scripts, or automated mechanisms to decompile, extract, or duplicate files, structures, or assets from the software.
• Modifying, tampering with, patching, cracking or circumventing the technical measures that protect the software and its services, including sign-in, payments, Credits and updates.
• Sharing, leasing, lending, transferring, or reselling your account, Pro subscription days, or Credit balance to any other individual or entity.
• Intercepting, redirecting, forging, or directly calling HANAVI APIs and backend AI services outside of the official HANAVI application environment.
• Using the software to generate, edit, store, or distribute content that violates Vietnamese laws, incites violence, contains obscenity, distorts history, infringes on the intellectual property rights of others, or creates deepfake materials impersonating individuals for fraud or malicious purposes.

7. Violations and Remedies

• In the event that you violate any provision of these Terms, HANAVI may take the following actions and will notify you at your registered email address:
• Temporarily suspend or permanently terminate your account across all systems.
• Forfeit all remaining Credits and active Pro subscription days associated with the infringing account without any obligation to refund.
• Revoke your license to use the software and block the offending account from the server services.
• You shall be held fully liable to compensate HANAVI and any affected third parties for all actual damages, legal fees, and financial losses arising out of or related to your breach in accordance with applicable laws.

8. Software Updates and Protection

• Updates: HANAVI checks for and downloads digitally signed updates from HANAVI's servers. Keep the software up to date to receive security fixes and feature improvements.
• Technical Protection Measures: HANAVI uses technical measures to protect the software and its services. If unauthorised modification is detected, the software may stop working.

9. Limitation of Liability

• HANAVI and all associated services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, HANAVI makes no warranties that the software will be completely error-free, uninterrupted, or compatible with all third-party hardware and software configurations.
• You are solely responsible for the copyright, legality, and nature of all videos, audio tracks, and images imported, edited, or exported using the software. HANAVI disclaims all liability for any third-party claims, copyright disputes, or losses resulting from your creation, publication, or distribution of media generated with the software.
• In all circumstances, HANAVI's total aggregate liability to you for any and all claims arising out of or relating to the software shall not exceed the actual amount you paid to HANAVI for subscription services or Credits during the three (03) months immediately preceding the event giving rise to liability.

10. Modifications to Terms and Termination

• Modifications: HANAVI reserves the right to amend, update, or modify these Terms at any time to reflect legal changes or technical updates to the software. The revised Terms will be posted on hanavi.vn with the updated effective date. Your continued use of the software after such revisions constitutes your acceptance of the updated Terms.
• Termination: You may cease using the software and terminate your account at any time. HANAVI reserves the right to discontinue services or terminate this agreement if you breach any term or upon a business decision to sunset the software.

11. Governing Law and Dispute Resolution

• These Terms of Use shall be governed by, interpreted, and enforced in accordance with the laws of the Socialist Republic of Vietnam.
• Any dispute or controversy arising out of or in connection with these Terms shall first be resolved through good-faith amicable negotiation between the parties. If the dispute cannot be settled within thirty (30) days from the date it arises, either party may submit the dispute to the competent People's Court in Vietnam for final adjudication in accordance with the law.
